Clarity On EGM Resolutions

In order to clarify some aspects of the Notice of EGM – First Ordinary Resolution concerning the potential sublease or license of the upstairs part of the premises of the Clubhouse. The word “disposing” seems to be causing some concerns. Under the Registered Club Act we are required to use the word “disposal” if you are potentially subleasing or licensing the venue. The Board wish to confirm that:

 

·               The Board will not be “disposing” of any part of the Clubhouse in the commonly or colloquially understood sense of “disposal”. The Club will maintain its current ownership status as the registered title holder of the currently existing perpetual lease of the clubhouse premises. The proposal is only to sublease or licence the upstairs part of those premises, for a period and on conditions set by the Club.

·               The terms and conditions on which that sublease or license would occur would include access to the restaurant by the Club for large MVGC functions, and discounted dining prices for members.

·               The currently proposed sub-lessee or licensee is a well-established and successful restaurant operator, with a proven, long term, track record at very successful venues, some of which are registered Clubs.

·               The proposal would in the Board’s view:

·             secure a significant investment by that operator for a badly needed renovation of the upstairs of the Clubhouse, including to the kitchen which (along with most of the Clubhouse) has not had any significant investment or modernisation in the last 50 years due to lack of funds;

·             provide access for members to an outstanding and professionally operated dining experience in the new upstairs restaurant area.

·            secure a considerable income over the term of the lease which can be put towards renovation of the downstairs area of the Clubhouse to provide a new and modern clubhouse facility for members; The proposed renovation on the lower level would include the following:

          1. New “members only” lounge and bar area
          2. New Café/half way facility located on the eastern side, currently men’s Locker room
          3. Relocate men’s locker room to western side and refurbish ladies locker room.
          4. New gym/warm up area, including indoor golf training facility (Trackman/virtual golf range) located in the current bunker bar
          5. New Club storage/reception/office area.

 

If passed, the resolution pertaining to the above will enable the Board to continue to explore this option more fully and potentially move towards an agreement with the chosen operator.  This agreement would be only entered into if the Board assesses that the members of MVGC will gain clear and tangible benefits from the initiative. There are several regulatory and procedural steps that must be undertaken along the way, but without this resolution, the Board will be required to pursue a far more expensive and time-consuming legal process to enable it to proceed further.

 

Clarity on Second Special Resolution – Renaming of 5 Day members to 6 Day members.

A number of members have questioned the reasons for renaming the current 5 Day membership category to a 6 Day membership category. This recommended name change is simply to reflect the days in which our current 5 day members have access to the course. This being every day, except Saturday. There will be NO change to the current playing rights, competition days or any entitlements which the current 5 Day member has (other than the annual fee increases, which occur every year to all categories)

 

Another reason for the suggested name change is to align with other 6 Day memberships at other Clubs. An example would be, during the recent review of all membership categories, we learnt that our current 5 Day membership which allows members access on Sundays, is generally referred to as a 6 Day membership, Sunday is seen as a premium day. The name change will allow the Club to market this category accordingly and ensure we are comparing apples with apples, especially when new perspective members wish to join.

 

I hope the information above gives clarity to the “Notice of Meeting Agenda” and enables all members to feel comfortable with the recommended changes to the Clubs constitution.
